1. Agreement to Terms
By accessing and using InvestorReach ("Service", "we", "us", or "our"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to these Terms of Service, please do not use our Service.
These Terms apply to all visitors, users, and others who access or use the Service.
2. Description of Service
InvestorReach is an AI-powered investor outreach platform that provides:
- Access to a database of verified investor contacts
- AI-generated personalized email content
- Email delivery and tracking services
- Campaign management dashboard
- Analytics and reporting tools
We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time.
3. User Accounts
3.1 Account Creation
To use our Service, you must create an account by providing accurate, complete, and current information. You may register using:
- Google OAuth (recommended)
- Email and password
3.2 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:
- Use a strong, unique password
- Not share your account credentials with others
- Notify us immediately of any unauthorized access
- Be responsible for all activities under your account
3.3 Account Termination
We reserve the right to suspend or terminate your account if:
- You violate these Terms of Service
- You engage in fraudulent or illegal activities
- You abuse or misuse the Service
- Your account remains inactive for more than 12 months
4. Credits and Payments
4.1 Credit System
Our Service operates on a credit-based system where:
- 1 credit = 1 email sent to an investor
- Credits are purchased through one-time payments
- Credits never expire
- Credits are non-transferable between accounts
- Bounced emails do not consume credits
4.2 Pricing
Current pricing tiers are displayed on our Pricing Page. We reserve the right to modify pricing at any time, but changes will not affect credits already purchased.
4.3 Payment Processing
Payments are processed securely through Razorpay. We do not store your credit card information. By making a payment, you agree to Razorpay's terms and conditions.

5. Acceptable Use Policy
5.1 Permitted Use
You may use our Service only for lawful purposes and in accordance with these Terms. Specifically, you agree to use the Service only for:
- Legitimate fundraising and investor outreach activities
- Contacting investors relevant to your business
- Professional business communications
5.2 Prohibited Use
You agree NOT to use our Service to:
- Send spam, unsolicited commercial emails, or bulk emails unrelated to fundraising
- Impersonate another person or company
- Harvest or collect email addresses for purposes other than investor outreach
- Send fraudulent, deceptive, or misleading content
- Violate any applicable laws or regulations
- Interfere with or disrupt the Service or servers
- Attempt to gain unauthorized access to our systems
- Use automated scripts or bots to access the Service
- Resell or redistribute our investor database
- Send emails containing malware, viruses, or harmful content
5.3 Content Standards
All emails sent through our platform must:
- Be truthful and not misleading
- Comply with CAN-SPAM Act, GDPR, and other email regulations
- Include accurate sender information
- Respect intellectual property rights
- Not contain offensive, defamatory, or inappropriate content
6. Intellectual Property
6.1 Our Intellectual Property
The Service and its original content, features, and functionality are owned by InvestorReach and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.
Our investor database, AI algorithms, and platform design are proprietary and confidential. You may not:
- Copy, modify, or create derivative works
- Reverse engineer or decompile any part of the Service
- Remove any copyright or proprietary notices
- Use our trademarks without written permission
6.2 Your Content
You retain ownership of content you provide (startup information, pitch, etc.). By using our Service, you grant us a limited license to:
- Use your content to generate personalized emails
- Store your content on our servers
- Display your content on your dashboard
- Use anonymized data for service improvements
7. Data Privacy and Security
7.1 Privacy Policy
Our collection and use of personal information is described in our Privacy Policy. By using the Service, you consent to our privacy practices.
7.2 Investor Email Protection
To protect investor privacy:
- Investor email addresses are never displayed to you
- You can only see firm names, regions, and tracking data
- Replies are forwarded to you without exposing the investor's email
- You may not attempt to extract or harvest investor email addresses
7.3 Data Security
We implement industry-standard security measures including:
- 256-bit SSL encryption for data transmission
- Encrypted data storage
- Regular security audits
- Access controls and authentication
However, no method of transmission over the Internet is 100% secure. We cannot guarantee absolute security.
8. Email Deliverability
8.1 Best Efforts
We make best efforts to ensure high email deliverability through:
- Proper SPF, DKIM, and DMARC configuration
- IP address reputation management
- Rate limiting and smart sending schedules
- Email validation and verification
8.2 No Guarantee
We do not guarantee that all emails will be delivered or read. Deliverability depends on factors beyond our control, including:
- Recipient email server settings
- Spam filter configurations
- Email content quality
- Recipient preferences and blocklists
8.3 Bounced Emails
If an email bounces (hard bounce), the credit will be refunded to your account automatically.
9. AI-Generated Content
9.1 AI Usage
Our Service uses artificial intelligence (OpenAI GPT models) to generate personalized email content based on:
- Your startup information
- Investor profiles and focus areas
- Industry best practices
9.2 Content Responsibility
While we strive for accuracy and quality:
- AI-generated content may occasionally contain errors
- You are responsible for reviewing and approving your pitch information
- You remain responsible for the content of emails sent on your behalf
- We recommend reviewing sample outputs before launching large campaigns
9.3 Content Moderation
We reserve the right to review and reject AI-generated content that violates our Acceptable Use Policy.
10. Disclaimers and Limitations
10.1 No Investment Guarantee
InvestorReach is a communication tool. We do not guarantee:
- That investors will respond to your emails
- That you will receive funding or investment
- That our Service will meet your specific requirements
- Any specific results or outcomes
10.2 Service Availability
We strive for 99.9% uptime but do not guarantee uninterrupted access. The Service may be unavailable due to:
- Scheduled maintenance
- Technical difficulties
- Third-party service outages (Supabase, Zoho, OpenAI)
- Force majeure events
10.3 Third-Party Services
Our Service relies on third-party providers:
- Supabase (database and authentication)
- Zoho Mail (email delivery)
- OpenAI (AI content generation)
- Razorpay (payment processing)
We are not responsible for failures or issues caused by these third-party services.
11. Limitation of Liability
To the maximum extent permitted by law, InvestorReach and its affiliates, officers, employees, agents, partners, and licensors shall not be liable for:
- Any indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, or business opportunities
- Service interruptions or data loss
- Errors in AI-generated content
- Actions or omissions of third-party service providers
Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim, or ₹10,000, whichever is less.
12. Indemnification
You agree to indemnify and hold harmless InvestorReach from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:
- Your use or misuse of the Service
- Violation of these Terms of Service
- Violation of any rights of another party
- Content you submit or emails you send
13. Changes to Terms
We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting. We will notify you of material changes via:
- Email notification
- Dashboard notification
- Website banner
Your continued use of the Service after changes constitutes acceptance of the new Terms.
14. Termination
14.1 Termination by You
You may terminate your account at any time by:
- Contacting support at support@investorreach.ai
- Using the account deletion feature in your dashboard
Upon termination, unused credits will be forfeited unless you request a refund within 7 days (subject to Refund Policy).
14.2 Termination by Us
We may terminate or suspend your account immediately if:
- You breach these Terms
- We suspect fraudulent activity
- Required by law
- You abuse the Service
14.3 Effect of Termination
Upon termination:
- Your access to the Service will be revoked
- Your data will be deleted within 30 days (unless legally required to retain)
- Provisions of these Terms that should survive will remain in effect
15. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.
Any disputes arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in [Your City], India.
16. Dispute Resolution
Before filing a lawsuit, you agree to try to resolve the dispute informally by contacting us at support@investorreach.ai. We will attempt to resolve the dispute through good faith negotiations.
If the dispute cannot be resolved within 30 days, either party may pursue legal remedies.

These Terms constitute the entire agreement between you and InvestorReach regarding the Service and supersede all prior agreements.
17.2 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
17.4 Assignment
You may not assign or transfer these Terms without our prior written consent. We may assign our rights to any affiliate or successor without restriction.
17.5 Force Majeure
We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control.
